Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Chamberline platform ("Service"), operated by COIN GROUP LLC ("Company," "we," "us," or "our"). Chamberline is a WhatsApp-based AI business assistant platform available at getchamberline.com.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Chamberline provides an AI-powered WhatsApp assistant (referred to as an "MBA" or "My Business Assistant") that handles customer conversations, appointment booking, and deposit collection on behalf of service business vendors. Key features include:

  • Automated customer messaging via the WhatsApp Business API
  • AI-driven booking and scheduling
  • Payment and deposit collection via Stripe
  • Instagram comment automation
  • Analytics and reporting

Chamberline is a Meta Tech Provider (Independent Software Vendor). We are not owned by, operated by, or endorsed by Meta Platforms, Inc.

3. Account Types

Vendors

A "Vendor" is a service business owner who subscribes to Chamberline to manage customer interactions through WhatsApp. Vendors connect their WhatsApp Business Account via Meta Embedded Signup and are responsible for the content and accuracy of their business information, service offerings, and pricing.

Customers

A "Customer" is an end user who interacts with a Vendor's WhatsApp Business number. Customers communicate with the Vendor's AI assistant and may book services, make deposits, or ask questions. Customers do not create accounts with Chamberline directly — they interact with the Vendor's WhatsApp number powered by our platform.

4. Vendor Obligations

As a Vendor, you agree to:

  • Provide accurate and up-to-date business information, including service descriptions and pricing
  • Comply with all applicable laws and regulations in your jurisdiction
  • Comply with Meta's Platform Terms, WhatsApp Business Terms of Service, and Instagram Platform Terms
  • Comply with Stripe's Connected Account Agreement
  • Not use the Service for any illegal, fraudulent, or deceptive purpose
  • Respond to customer disputes and complaints in a timely manner
  • Maintain a clear refund and cancellation policy for your customers
  • Ensure you have the right to use any content (images, text, branding) you provide to the platform

Vendors are independent businesses. Nothing in these Terms creates an employment, partnership, or agency relationship between you and COIN GROUP LLC.

5. Customer Interactions and Consent

When customers message a Vendor's WhatsApp Business number, they are interacting with an AI-powered assistant operated on behalf of that Vendor. By messaging the Vendor's WhatsApp number, customers consent to:

  • Receiving automated responses, including AI-generated messages
  • Receiving transactional messages such as booking confirmations, reminders, and expiry notices
  • Having their messages processed for the purpose of service delivery and booking

Customers may stop interacting at any time by ceasing to message the Vendor's WhatsApp number.

6. Payments and Billing

Vendor Subscription

Vendors pay a monthly subscription fee (currently $99/month for the base plan) for access to the Chamberline platform. Subscription details, including pricing and features, are available on our website and may be updated from time to time with reasonable notice.

Customer Payments

Customer payments (deposits, service fees) are processed via Stripe Connect. The Vendor is the merchant of record for all customer transactions. COIN GROUP LLC acts as the platform facilitating the connection between the Vendor and Stripe.

Chamberline does not hold, store, or process payment card data. All payment processing is handled by Stripe in accordance with PCI DSS standards.

Refunds and Disputes

Deposit and refund policies are set by each individual Vendor, not by Chamberline. Customers should contact the Vendor directly regarding refund requests. Chamberline is not responsible for Vendor refund decisions.

7. Intellectual Property

The Chamberline platform, including its software, design, branding, and documentation, is the property of COIN GROUP LLC and is protected by applicable intellectual property laws.

Vendors retain ownership of their business content (service descriptions, images, branding). By using the Service, Vendors grant us a limited license to display and transmit their content as necessary to operate the platform.

8. Third-Party Services

Chamberline integrates with the following third-party services. Your use of the Service is also subject to the terms and policies of these providers:

  • Meta Platforms — WhatsApp Business API, Instagram API, and Facebook Login. Subject to Meta's Terms of Service and Data Policy.
  • Stripe — Payment processing via Stripe Connect. Subject to the Stripe Services Agreement and Connected Account Agreement.
  • Telnyx — Phone number provisioning and SMS services.
  • ManyChat — Optional TikTok comment automation, subject to ManyChat's terms.

We are not responsible for the availability, accuracy, or conduct of any third-party service.

9. Prohibited Uses

You may not use the Service to:

  • Send spam, unsolicited messages, or bulk marketing communications
  • Violate WhatsApp's acceptable use policies or Meta's Platform Terms
  • Engage in any illegal activity, including fraud, money laundering, or sale of prohibited goods
  • Harass, threaten, or abuse customers or other users
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform
  • Interfere with the operation or security of the Service
  • Misrepresent your identity or business
  • Resell or sublicense access to the platform without our written consent

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the AI assistant will be error-free, that responses will always be accurate, or that the Service will be uninterrupted. Vendors are responsible for reviewing and monitoring AI-generated interactions with their customers.

11. Limitation of Liability

To the maximum extent permitted by law, COIN GROUP LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any reason at our reasonable discretion, with notice where practicable.

You may cancel your subscription at any time by contacting us at [email protected]. Upon cancellation, your access to the platform will continue through the end of your current billing period.

Upon termination, your right to use the Service ceases. We may retain certain data as described in our Privacy Policy.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wyoming.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify Vendors via email or through the platform. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
